These Terms of Service form a legally binding agreement between you and [MICYN Legal Company Name], doing business as MICYN (“MICYN,” “we,” “us,” or “our”).
These Terms govern your access to and use of the MICYN website, marketplace, accounts, seller tools, product listings, checkout functions, communications, and related services (collectively, the “Platform”).
By accessing the Platform, creating an account, purchasing a product, registering as a seller, listing a product, or otherwise using MICYN, you acknowledge that you have read, understood, and agreed to these Terms. Do not use the Platform if you do not agree.
You must be at least 18 years old and legally capable of entering into a binding agreement to create a seller account or independently conduct transactions through MICYN. Individuals under 18 may use the Platform only under the active supervision and responsibility of a parent or legal guardian.
The Platform is not directed to children under 13, and children under 13 may not create accounts or provide personal information directly to MICYN.
By using the Platform, you represent that the information you provide is accurate, you are legally permitted to use the Platform, you will comply with these Terms and applicable laws, and you are not prohibited from using the Platform under applicable sanctions or trade restrictions.
MICYN provides an online marketplace that allows independent third-party sellers to offer products to buyers. Unless a product page expressly identifies MICYN as the seller, MICYN is not the buyer or seller in a transaction between marketplace users.
MICYN may provide technology, payment functionality, order-management tools, messaging systems, support services, and policy enforcement. Providing these services does not make MICYN the manufacturer, owner, importer, distributor, inspector, or guarantor of third-party products.
Sellers are responsible for their products, listings, prices, inventory, legal compliance, warranties, shipping, fulfillment, returns, refunds, and customer representations. Buyers are responsible for reviewing the available product, seller, shipping, and return information before purchasing.
MICYN may review, restrict, suspend, reject, remove, or investigate any account, listing, order, payment, payout, or marketplace activity when we reasonably believe it may violate these Terms, applicable law, a service-provider requirement, or the rights or safety of another person.
Certain Platform features require an account. You agree to provide complete and accurate information, keep your information current, protect your password and login credentials, prevent unauthorized use, and notify MICYN promptly if you suspect that your account has been compromised.
You are responsible for activity conducted through your account except where applicable law provides otherwise. MICYN is not responsible for losses caused by your failure to reasonably safeguard your credentials.
Create multiple accounts to evade restrictions, fees, reviews, reserves, or enforcement action.
Buyers must review product descriptions, images, pricing, condition, quantities, seller information, shipping terms, and return eligibility before completing a purchase. Buyers must provide accurate delivery and contact information and pay all amounts displayed before checkout.
Buyers should inspect delivered products promptly and report damaged, incorrect, missing, or materially misrepresented products within the applicable reporting period.
Sellers must provide all information reasonably requested by MICYN, its payment processors, verification providers, insurers, or applicable law. Requested information may include legal name, business name, physical address, phone number, email address, bank or payout information, tax identification information, government-issued identification, business-registration documents, and beneficial-owner information.
Sellers authorize MICYN and its service providers to verify submitted information. Sellers must keep their information accurate and current and may be required to reconfirm it periodically.
MICYN may delay payouts, limit product visibility, restrict listings, or suspend seller activity until requested information has been verified or updated.
Where applicable, MICYN may collect, verify, and disclose information concerning qualifying high-volume third-party sellers and provide a mechanism for reporting suspicious marketplace activity as required by the INFORM Consumers Act or other applicable law.
Each seller is solely responsible for its products and marketplace conduct. A seller’s obligations include the following:
Every product listing must be complete, accurate, and not misleading. Listings must clearly disclose the product identity, condition, price, quantity, material terms, product variations, shipping charges, handling time, return eligibility, relevant warnings, and any other information that could reasonably affect a buyer’s decision.
MICYN may reformat listings, assign categories, request additional information, reduce visibility, reject, pause, or remove a listing at any time. MICYN’s review or continued display of a listing does not constitute an endorsement, inspection, certification, warranty, or guarantee.
Users may not list, purchase, request, promote, or facilitate products or activity that are illegal, stolen, counterfeit, unsafe, recalled, fraudulently labeled, infringing, deceptive, or prohibited by MICYN policy.
MICYN may update its Prohibited Products Policy as the marketplace, payment-provider requirements, carrier restrictions, or applicable laws change.
Submitting an order does not guarantee acceptance. An order may be rejected, paused, or canceled because of product unavailability, pricing errors, payment failure, suspected fraud, seller inability to fulfill, delivery restrictions, policy violations, technical errors, or legal concerns.
Unless applicable law provides otherwise, a purchase agreement between the buyer and the applicable seller is formed when the order is accepted or processed. MICYN may facilitate communications, payment processing, cancellations, refunds, or disputes but does not guarantee that every transaction or dispute will be completed or resolved.
Independent sellers generally establish product prices. Prices and availability may change before an order is submitted.
Buyers must review the final checkout total, which may include product price, shipping charges, sales tax, customs or import charges, and other clearly disclosed fees.
MICYN may correct display, description, pricing, tax, shipping, or calculation errors and may cancel an affected order where reasonably necessary. Any refund legally due for a canceled order will be processed through the original or another appropriate payment method.
MICYN currently charges sellers a marketplace service fee equal to 5% of the product sale price for each product successfully sold through the Platform.
Unless otherwise disclosed, the 5% fee is calculated using the product price after seller-funded discounts and excludes separately stated sales tax and separately stated shipping charges.
Additional payment-processing, currency-conversion, chargeback, dispute, advertising, promotional, payout, or optional service fees may apply when clearly disclosed. MICYN may deduct amounts owed from seller payouts, reserves, refunds, or other amounts held on the seller’s behalf.
The Pricing & Fees Policy is incorporated into these Terms.
MICYN may use independent payment processors to process buyer payments and seller payouts. Users may be required to agree to a processor’s separate terms and provide additional verification information.
MICYN does not guarantee that every payment or payout method will remain available. Payouts may be delayed, withheld, reduced, reversed, or placed in reserve when reasonably necessary because of pending delivery, refunds, chargebacks, fraud concerns, verification, legal obligations, unusually high transaction risk, seller-policy violations, or anticipated customer claims.
Sellers authorize MICYN to recover amounts owed by deducting them from current or future payouts, reserves, or other seller balances and, where legally permitted, by charging an approved payment method.
Buyers and sellers are responsible for taxes applicable to their activities except where MICYN is legally required to calculate, collect, report, or remit certain taxes.
Sellers remain responsible for registering with applicable tax authorities, providing accurate tax information, reporting income, paying taxes not collected by MICYN, and obtaining professional tax advice. MICYN does not provide tax advice.
Unless MICYN expressly identifies a separate fulfillment service, sellers are responsible for order processing, packaging, shipping, tracking, delivery commitments, product condition during shipment, carrier compliance, and addressing lost, delayed, damaged, or misdelivered orders.
Estimated delivery dates are estimates, not guarantees. Sellers must have a reasonable basis for advertised shipping times. If an order cannot be shipped within the promised period, the seller and MICYN may be required to provide a delay notice, obtain the buyer’s consent to a revised date, or issue a prompt refund for unshipped merchandise.
The Shipping & Delivery Policy is incorporated into these Terms.
Return, refund, and cancellation eligibility may depend on the seller’s published policy, the product category, the product condition, the timing and evidence supporting the request, MICYN policy, and applicable law. A seller policy cannot remove rights that a buyer has under applicable law.
MICYN may issue, approve, require, facilitate, or deny a refund when reasonably necessary to comply with law, enforce marketplace policies, address fraud, correct a payment error, respond to non-delivery, or resolve a materially inaccurate listing.
When a refund is attributable to a seller, the refunded amount, chargeback, return cost, marketplace fee, payment-processing cost, or other applicable amount may be deducted from the seller’s current balance, reserve, or future payouts.
Users may submit reviews, product content, profile information, messages, images, and other materials where permitted. Users retain ownership of their original content but grant MICYN a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, format, display, distribute, and use that content as reasonably necessary to operate, promote, secure, and improve the Platform.
Users may only submit content they own or are authorized to use. Reviews must reflect genuine experiences. Users may not submit fake reviews, purchase reviews, condition compensation on a positive review, suppress honest negative reviews, or manipulate marketplace feedback.
MICYN may remove, restrict, or preserve content when it violates policy, may be unlawful, presents safety or fraud risk, or is needed for a dispute or investigation. MICYN is not required to monitor every communication or submission before publication.
The MICYN name, logo, website design, software, text, graphics, and other Platform materials are owned by or licensed to MICYN and are protected by applicable intellectual-property laws.
Users may not copy, reproduce, distribute, modify, reverse engineer, scrape, republish, or commercially exploit MICYN materials without written authorization.
MICYN respects intellectual-property rights and may remove allegedly infringing content or suspend repeat infringers. Rights holders may submit a complete infringement notice to [Intellectual Property Email] and [Business Address].
MICYN may restrict, suspend, or terminate an account, listing, order, payout, or access when we reasonably believe these Terms were violated, information is false or unverifiable, fees remain unpaid, the account creates fraud or safety risk, repeated complaints or disputes have occurred, or action is required by law or a service provider.
MICYN may retain information and transaction records after account closure where reasonably necessary for legal, tax, accounting, fraud-prevention, safety, dispute, or security purposes.
Termination does not eliminate outstanding obligations concerning payments, fees, refunds, taxes, indemnification, investigations, or legal claims.
The Platform may rely on payment processors, hosting providers, identity-verification services, analytics tools, shipping carriers, communication providers, advertising services, and other third parties.
MICYN does not control and is not responsible for the independent acts, availability, content, security, policies, or performance of third-party services. Use of a third-party service may be governed by separate terms and privacy policies.
By using the Platform, you consent to receive communications electronically, including account, order, payment, policy, security, and legal notices. Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.
You are responsible for keeping your email address and contact information current. Marketing communications may be unsubscribed from, but operational or legally required communications may still be sent.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
MICYN does not warrant that the Platform will always be available, uninterrupted, secure, accurate, complete, or error-free; that every seller or buyer is trustworthy; that every listing is accurate; that products are safe, lawful, authentic, or fit for a particular purpose; that an order will be completed; or that defects will always be corrected.
Nothing in these Terms excludes warranties, remedies, or consumer rights that cannot lawfully be excluded.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MICYN AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS OF OPPORTUNITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MICYN’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE MARKETPLACE FEES PAID DIRECTLY TO MICYN BY THE CLAIMING USER DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limitations do not apply where liability cannot legally be limited, including liability that applicable law makes non-waivable.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless MICYN and its owners, officers, employees, contractors, affiliates, and service providers from claims, losses, liabilities, penalties, damages, judgments, and reasonable legal expenses arising from or relating to your use of the Platform, your products or listings, your breach of these Terms, your violation of law, your infringement of another person’s rights, your taxes, your shipping or returns, your warranties or customer service, your fraud or misconduct, or a dispute between you and another user.
MICYN may control the defense of a matter subject to indemnification, and you agree to cooperate reasonably.
Buyers and sellers should first attempt to resolve transaction concerns through MICYN’s messaging and support systems. MICYN may assist with a dispute but does not guarantee a particular result.
MICYN may consider listings, order records, messages, tracking information, photographs, seller policies, payment records, and other relevant evidence. A marketplace decision does not prevent a party from exercising any non-waivable right available under applicable law.
These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles.
Unless applicable law requires otherwise, a legal action relating to these Terms or the Platform must be brought in the state or federal courts located in [County, State], and each party consents to the personal jurisdiction of those courts.
MICYN will not be liable for a delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, labor disputes, carrier interruptions, utility failures, internet outages, cyberattacks, government action, epidemics, pandemics, or failure of third-party infrastructure.
MICYN may change, suspend, or discontinue any Platform feature and may update these Terms from time to time. Material changes may be communicated through email, the Platform, an account notice, or another reasonable method.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law. Changes will not retroactively alter completed transactions except where required by law or agreed by the affected parties.
If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be interpreted as closely as legally permitted to its intended purpose.
A failure by MICYN to enforce a provision is not a waiver. You may not assign your rights or obligations without MICYN’s written consent. MICYN may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
These Terms, together with incorporated marketplace policies, constitute the entire agreement between you and MICYN concerning the Platform. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations, indemnification, governing law, and dispute provisions.
Micyn Premium Products
